Advertising Terms

These additional terms apply to the purchase of Advertising Services (the “Advertising Terms”) and form part of the Seller Terms and Conditions (https://www.wolfandbadger.com/pages/sellerterms/).

These Advertising Terms may change over time in accordance with the Seller Terms and Conditions.

Terms defined in the Seller Terms and Conditions have the same meaning as defined terms in these Advertising Terms.

1. Wolf & Badger Ads

Following a purchase of the Advertising Services, W&B will display the Seller's Website Products prominently on the Website as an advertisement (“Advertisement”) as follows:

  • Advertisements will be displayed alongside search results and as part of the product category pages; and

  • The ranking and prominence of an Advertisement will depend on search relevance, listing quality, the bids (or amount budgeted for bids) made by the Seller to display the Advertisement, and for certain Advertisements, likelihood of views or sales.

W&B do not guarantee the Seller’s Advertisement will appear in any particular position or rank and the position and manner in which the Advertisement will appear will be determined by W&B in its absolute discretion.

The Seller acknowledges that the Seller’s Website Products will be displayed as part of the Advertisement by default save that:

  • where new products are added to the Website Sales Area, these new products will need to be added to the Advertisement by the Seller;

  • the Seller may remove certain of Seller’s Website Products from the Advertisement.

A. Purchasing Ads

By providing a budget for W&B to purchase Advertising Services via the Brand Dashboard or W&B's third party advertising platform, currently operated by Topsort (the "Ads Platform"). W&B may change the Ads Platform provider at any time, and will use reasonable efforts to migrate the Seller's campaigns and Credit Balance to any replacement platform., or through agreement with W&B, the Seller authorises W&B to submit bids for Advertisements on its behalf using the auction process set out below and the Seller acknowledges that W&B uses an auto-bidding system which means that W&B may submit and change bids at any time, subject to any limits set by the Seller.

The Seller may purchase Advertising Services by participation in an auction process (on its own behalf or via W&B) as follows:

  • W&B or Seller enters bids on a cost-per-click (“CPC”) basis for potential Advertisements based on a daily budget set by the Seller (“Bids”);

  • The auction price will vary and depends on a number of factors such as the competition and the number of participants in the auction and their bid amounts;

  • The Seller with the highest Bid at the time the auction closes (“Bid Price”) acquires the right to display the Advertisement as set out in the Auction;

  • The Seller will be charged the Bid Price if a Customer clicks on the Advertisement.

W&B will charge the Seller fees for the Advertising Services on a CPC basis calculated using the Highest Bid when a Customer clicks on the Advertisement (the "Advertising Fee").

The Seller may pause an Advertisement or related campaign via the Brands Dashboard or Ads Platform although the Seller will be charged for any Advertising Fees incurred up until the date that the Advertisement or campaign was paused.

W&B shall make reasonable efforts to ensure that the Advertising Fees will be displayed through the Brands Dashboard or Ads Platform within 24 hours of when such Advertising Fees have been incurred.

B. Setting a Wolf & Badger Ads Budget

When purchasing Advertising Services, the Seller can set a budget to limit the amount of the Advertising Fees in which event the Seller will not be charged more than such budget and the Seller acknowledges that, on reaching such budget, W&B will cease showing the Advertisement.

2. Disclaimer

W&B makes no commitment that using the Advertising Services will result in a Customer clicking on an Advertisement or Customers purchasing Website Products displayed in the Advertisement.

W&B makes no commitment regarding:

(i) specific placement positions or frequency of Advertisement display;

(ii) minimum levels of impressions, clicks, or sales;

(iii) return on ad spend (ROAS) or any specific performance metrics;

(iv) the continued availability of any particular placement type (including but not limited to category pages, search results, or product display pages).

The Seller acknowledges that advertising performance can vary significantly based on factors including product category, pricing, competition, seasonality, and overall market conditions.

3. Credit Balance and Expiration

A. Credit Balance

The Seller’s advertising credit balance (“Credit Balance”) will be maintained within the Ads Platform and visible via the Brands Dashboard. The Credit Balance represents prepaid funds available for Advertising Services and is denominated in US Dollars (USD). Credits purchased in other currencies will be converted to USD at the prevailing exchange rate at the time of purchase.

B. Expiration on Termination

Upon termination or expiry of the Seller Terms and Conditions for any reason:

(i) the Seller will have 30 days from the termination date (“Wind-Down Period”) to utilise any remaining Credit Balance for Advertising Services;

(ii) the Seller may continue to run active campaigns during the Wind-Down Period, subject to these Advertising Terms;

(iii) any unused Credit Balance remaining after the Wind-Down Period will expire automatically and will not be refundable, transferable, or redeemable for cash or any other form of payment.

For the avoidance of doubt, this Section 3B applies regardless of the reason for termination, including termination by the Seller, termination by W&B, or expiry of the agreement.

C. Promotional Credits

W&B may, at its sole discretion, apply bonus credits or promotional credits (“Promotional Credits”) to the Seller’s Credit Balance as part of promotional offers or incentive programmes. Promotional Credits:

(i) are provided at W&B’s discretion and W&B may modify or discontinue promotional credit programmes at any time;

(ii) cannot be exchanged for cash, refunded, or transferred to another Seller;

(iii) may have specific validity periods or conditions communicated at the time of issue;

(iv) will expire in accordance with Section 3B upon termination of the Seller Terms and Conditions;

(v) where Promotional Credits and paid credits both exist in a Credit Balance, Promotional Credits will be utilised first.

D. Credit Top-Ups

The Seller may purchase additional Advertising Services credits at any time via:

(i) the Brands Dashboard or Ads Platform self-service functionality (where available);

(ii) invoice arrangement with W&B.

All credit purchases are final and non-refundable once processed, except where required by applicable law.

4. Attribution and Reporting

A. Sales Attribution

Advertising Fees are charged on a cost-per-click (CPC) basis as set out in Section 1A. For performance reporting purposes, sales may be attributed to an Advertisement (“Attributed Sales”) where a Customer:

(i) clicks on an Advertisement; and

(ii) completes a purchase of the advertised Website Product, or any other of the Seller’s Website Products, within an attribution window determined by W&B (typically 7 to 14 days from the click).

W&B may adjust attribution windows and attribution methodology at any time to optimise performance measurement or align with industry standards. Changes to attribution methodology will be communicated via the Brands Dashboard or Ads Platform where practicable.

Attributed Sales are provided for informational and performance analysis purposes only. The Seller acknowledges that Attributed Sales figures may not precisely reflect the causal impact of Advertising Services on the Seller’s overall sales performance.

B. Reporting Access

The Seller will have access to advertising performance data via the Ads Platform, which may include:

(i) impressions (the number of times Advertisements were displayed);

(ii) clicks (the number of times Customers clicked on Advertisements);

(iii) spend (the Advertising Fees incurred);

(iv) Attributed Sales (as defined in Section 4A).

W&B may modify the available reporting metrics from time to time. Upon termination of the Seller Terms and Conditions:

(i) the Seller’s access to the Ads Platform and historical reporting data will cease at the end of the Wind-Down Period defined in Section 3B;

(ii) the Seller is responsible for exporting any required data prior to termination;

(iii) W&B is under no obligation to provide historical advertising data after termination.

C. Invalid Clicks

W&B and/or the Ads Platform provider employ automated systems to detect and filter invalid, fraudulent, or non-genuine clicks (“Invalid Clicks”). Invalid Clicks may include, without limitation:

(i) clicks generated by automated bots, scripts, or similar mechanisms;

(ii) repeated clicks from the same user within a short time period;

(iii) clicks that W&B reasonably believes were not made by genuine potential customers.

The Seller will not be charged Advertising Fees for clicks that W&B determines, in its reasonable discretion, to be Invalid Clicks. W&B is not obligated to disclose the specific methodology, algorithms, or criteria used to identify Invalid Clicks, and W&B’s determination of Invalid Clicks shall be final.

5. General

A. Modifications

W&B may modify these Advertising Terms at any time in accordance with the Seller Terms and Conditions. Continued use of the Advertising Services after any modification constitutes acceptance of the updated terms.

B. Governing Law

These Advertising Terms are governed by and construed in accordance with the laws specified in the Seller Terms and Conditions.
